STANDARD TERMS AND CONDITIONS OF SALE

  1. Introductory Provisions 
  2. 1.1. These General Terms and Conditions (hereinafter referred to as "GTC") govern all supplier-customer relationships between QWERT Rubber (hereinafter referred to as the "Supplier") and its customers (hereinafter referred to as the "Customer"). 
  3. 1.2. These GTC are an integral part of every quotation and purchase agreement (or confirmed order). Deviating written stipulations in the agreement take precedence over the wording of these GTC.
  4. Orders, Quotations, and Conclusion of Contract 
  5. 2.1. The Supplier's quotations are non-binding and valid for 30 days from the date of issue, unless stated otherwise. 
  6. 2.2. The contract is concluded at the moment of the Supplier's written confirmation of the Customer's order. 
  7. 2.3. Given market volatility, the Supplier reserves the right to adjust the price if there is a sharp increase in the prices of raw materials (especially rubber compounds and energy) by more than 5% between the confirmation of the order and the start of production.
  8. Technical Specifications and Manufacturing Tolerances 
  9. 3.1.Unless otherwise agreed in writing, the production of rubber parts is carried out within tolerances according to the international standard ISO 3302-1, precision class M3 for molded parts. 
  10. 3.2. The permitted hardness deviation of the final rubber product is ± 5 Shore A
  11. 3.3. The Customer bears full responsibility for the accuracy of the supplied drawing documentation and 3D models. The Supplier is not liable for defects caused by design errors in the Customer's specifications.
  12. Molds and Tools 
  13. 4.1. If special molds are produced for production, for which the Customer has paid a share of the production costs (tooling costs), these molds become the property of the Customer upon full payment of their price. 
  14. 4.2. he molds are physically stored at the Supplier's premises. The Supplier provides routine maintenance of the molds at its own expense for the duration of their guaranteed service life (number of cycles). 
  15. 4.3. If the Customer does not place any order for a given mold for a period exceeding 24 months, the Supplier is entitled to request the Customer to take possession of it. If the Customer fails to collect it within 30 days, the Supplier may dispose of it at the Customer's expense.
  16. Delivery Terms and Transfer of Risk 
  17. 5.1. The delivery period begins on the date of order confirmation, payment of any deposit, and approval of the reference sample (if agreed upon). 
  18. 5.2. The standard delivery term is EXW (Ex Works) QWERT Rubber warehouse, according to INCOTERMS 2020, unless the parties agree otherwise. The risk of damage to the goods passes to the Customer upon handover of the goods to the first carrier.
  19. Payment Terms and Retention of Title 
  20. 6.1.The standard maturity of invoices is 30 days from the date of issue, unless stated otherwise. 
  21. 6.2. The goods remain the exclusive property of the Supplier until the purchase price is paid in full (retention of title).
  22. Complaints and Liability for Defects 
  23. 7.1. The Customer is obliged to inspect the goods without undue delay upon receipt. Obvious defects, missing quantities, or damage to the packaging must be reported in writing within 3 working days. 
  24. 7.2. Hidden defects must be claimed immediately after discovery, but no later than 6 months from delivery. 
  25. 7.3. The Supplier is not liable for the suitability of the rubber parts for the Customer's specific final application unless this application has been expressly analyzed and approved in writing by the Supplier.
  26. Final Provisions 
  27. 8.1. Force Majeure: The Supplier is not liable for delays or non-fulfillment of obligations caused by circumstances excluding liability (e.g., natural disasters, strikes, energy supply outages).
